Associate (Mid-Level) at Cadwalader, Wickersham & Taft LLP (New York, NY).Manage transactions from beginning to end. Identify and advise on nuanced and/or complex issues and provide analysis and solutions to clients. Draft, or review and mark up, complex loan documents including credit agreements, collateral documents, securities and deposit account control agreements and supervise drafting of other ancillary documents. Supervise fund and investor document review/diligence projects. Run multiple, small/medium matters or parts of large matters effectively. Maintain an active role with client communications and advice. Obtain facts and relevant documents directly from clients. Develop relationships with mid-level counterparts involved in the matter, both from a client and opposing client perspective. Understand the Group's strategic priorities and begin to identify and seek business opportunities to further those priorities. Participate in a delegation and supervision skills workshops. Serve as a mentor to junior attorneys and paralegals. Participate in firm affairs (recruiting, pro bono, diversity initiatives, management and social events).Requires J.D. or foreign equivalent. Requires admission to New York state bar. Requires at least four (4) years of experience in any legal role/occupation/position involving banking, finance, and fund finance. Experience must include: Applying technical and commercial knowledge to subscription lending and net asset value transactions; Advising on a range of lending structures across the fund finance spectrum (closed-ended fund facilities, open-ended or evergreen fund facilities, facilities for separately managed accounts, and umbrella facilities); Technical legal structuring, negotiating, and drafting legal advice memos and loan documentation; Working with multi-jurisdictional and foreign exchange financings; Applying knowledge of market provisions and practices in fund finance; and Using Microsoft Office, Intapp Time (or equivalent) timekeeping software, iManage (or equivalent) document management platform, and Workshare Compare.
