About the Opportunity

Our AmLaw 100 client is hiring a junior to mid-level associate for its New York transactional tax team. The group covers the full spectrum of U.S. federal, state, and local transactional tax planning and represents clients before the IRS and other agencies.

Role Summary

You will advise on the tax aspects of M&A, cross-border structures, financings, subchapter C issues, and partnerships/joint ventures. The work is integrated with sophisticated corporate, finance, and regulatory practices, offering direct exposure to high-value deals and complex structuring.

Candidate Profile

• 1–5+ years of transactional tax experience from a top firm or in-house legal department

• Strong research, drafting, and analytical skills; able to run with assignments and collaborate across teams

• Prior exposure to inbound and outbound transactions, M&A, financing, subchapter C, and partnership tax is preferred

• Licensed in New York or eligible for admission

What You’ll Do Day-to-Day

• Draft and negotiate tax provisions in transaction documents

• Structure and model tax-efficient solutions for U.S. and cross-border deals

• Coordinate with corporate, finance, and regulatory teams to diligence and manage tax risk

• Research evolving statutes, regulations, and guidance; prepare client-facing memoranda and presentations
