Johnson & Oshan Law, PLLC. seeks Associate (New York, NY) to advise clients on a broad range of corporate legal matters, from formation to dissolution. Guide clients through financing rounds, addressing legal questions, ensuring corporate governance compliance, and managing cap tables. Lead due diligence and coordinate the financing and closing process with all parties involved. Draft and negotiate essential legal documents like term sheets, Stock Purchase Agreements, SAFEs, and Convertible Promissory Notes. Draft and review board and stockholder resolutions for various corporate actions, including equity grants, financings, and equity incentive plans. Review Blue Sky Memoranda and research state and federal securities regulations to ensure compliance. Advise clients on forming new entities, conversions, and dissolutions, drafting all necessary documents such as Certificates of Incorporation, Bylaws, LLC Agreements, and Plans of Dissolution. Provide ongoing advice on ownership structure, employee matters, intellectual property rights, and state registrations. Assist with new hires, drafting and reviewing Offer Letters, Employment Agreements, Independent Contractor Agreements, and Advisor Agreements. REQUIREMENTS: Juris Doctor (J.D.) or foreign equivalent and two years experience as Attorney, Associate or Counsel. Alternative Requirement: Master of Laws (LL.M.) or foreign equivalent and two years experience as Attorney, Associate or Counsel. Special Skills: The position requires two years experience with the following: Advising start-up or early-stage companies on corporate formation and governance. Drafting, reviewing, and negotiating corporate and commercial agreements for start-up and early-stage companies, including shareholders agreements, license agreements, software-as-a-service (SaaS) agreements, sales and purchase agreements, and nondisclosure agreements (NDAs). Handling capitalization table management and corporate transactions. Communicating directly with clients, including founders of start-up and early-stage companies. License: Must be licensed to practice law in at least one U.S. jurisdiction and authorized to provide legal services for the employer in the state where the position is based (New York), or, if working remotely, in the state from which the employee will perform the work.
