Capital Markets Associate (AM Law 100)

Firm:

A leading AM Law 100 firm with over 1,500 attorneys across 20+ offices, specializing in high-stakes litigation, corporate transactions, and regulatory matters. They represent Fortune 500 companies, leading private equity funds, and high-growth enterprises across industries such as technology, healthcare, financial services, and energy.

Role:

You will advise issuers, underwriters, and other market participants on equity and debt securities offerings, securities law compliance, and corporate governance matters. The attorney will work on public and private capital-raising transactions, including IPOs, follow-on offerings, high-yield debt offerings, and private placements.

Responsibilities:

• Advise clients on public and private securities offerings, including Initial Public Offerings (IPOs), Follow-on equity offerings, Investment-grade and high-yield debt offerings, etc.
• Draft, review, and negotiate Registration statements, Prospectuses, Underwriting agreements, Purchase agreements, etc.
• Conduct due diligence investigations for securities transactions.
• Advise clients regarding compliance with securities laws and stock exchange requirements.
• Assist clients with periodic reporting obligations, including Forms 10-K, 10-Q, and 8-K.

Qualifications:

• J.D. from an accredited law school.
• Active bar admission in at least one U.S. jurisdiction.
• 3–8+ years of capital markets, securities, or corporate law experience.
• IPO experience.
• Experience with public company reporting and governance.

Compensation/Benefits:

• Hybrid
• Base Salary: $250-500k+, commensurate with experience.
• Additional Compensation: Annual performance-based bonus.
