Corporate Title Vice President Location New York Overview We are seeking a Capital Markets and Mergers & Acquisitions (M&A) attorney to join the Legal Department in our New York City office. You will join a team of attorneys responsible for providing legal support and legal risk management to Deutsche Bank’s U.S. Investment Banking and Capital Markets businesses across a full range of debt and equity capital markets transactions (Debt Capital Markets (DCM), ECM and Leverage Debt Capital Markets (LDCM)) and M&A transactions where Deutsche Bank serves as a financial advisor. - Provide clear and concise advice to business units regarding capital markets transactions for a wide range of domestic and international issuer types and debt and equity products, including registered and 144A/Reg S bond offerings, IPOs and follow-on equity offerings and private placements
- Review and advise on pre-transaction and transaction documents from initial pitch phase through closing
- Negotiate M&A financial advisory engagement letters with investment banking clients, participate in fairness committees, and advise the Business on conflicts of interest matters
- Work with colleagues in the Legal Department and Compliance in the U.S. and overseas to coordinate advice regarding transactions and related matters
- Assisting with policy and guideline formulation and delivering related training on topical issues to the Legal Department and business units
- Create, maintain, and update legal form templates for capital markets and M&A matters
- Actively manage legal, regulatory and reputational risk issues and work with business units and legal billing group to manage outside legal counsel engagements and related costs and expenses
- An active State Bar membership and relevant capital markets experience at a major law firm and/or global investment bank
- Experience in Capital Markets and M&A (experience in M&A working with financial advisors would be a plus but is not a requirement). Federal securities law expertise, including familiarity with U.S. Securities and Exchange Commission regulations relevant to capital markets transactions
- Qualified lawyer, in good standing with the New York State Bar
- Strong analytical, organizational, multi-tasking and prioritizing skills
- Capacity to assume responsibility for your own workload from an early stage
- Ability to appropriately weigh legal risk, reputational and commercial issues in solving sophisticated legal problems
- Excellent verbal, written and interpersonal communication skills
It is the Bank’s expectation that employees hired into this role will work in the New York, NY office in accordance with the Bank’s hybrid working model (currently 3 days a week in office).

The salary range for this position in New York, NY is $170,000 to $275,500. Actual salaries may be based on a number of factors including, but not limited to, a candidate’s skill set, experience, education, work location and other qualifications.
