Senior Counsel, Strategic Transactions What You’ll Do We are seeking a dynamic Senior Counsel to join CoreWeave’s proactive and deeply engaged Legal team for Capital Markets & Strategic Transactions, a group that values collaboration, innovation, and solution-oriented thinking. The team partners closely with stakeholders across the organization—including Treasury, Tax, Finance, Accounting, and Corporate Development—to enable CoreWeave’s rapid and scalable growth. About The Role If hired, you will work on a broad range of corporate transactional matters, including M&A, strategic investments, and capital markets transactions. The ideal candidate will have experience scaling companies in a high-growth tech environment. You will report to the Associate General Counsel - Strategic Transactions. Responsibilities- Support a range of complex corporate transactional matters, including M&A, strategic investments, and capital markets transactions.
- Draft, negotiate, and review a broad range of transaction documentation, provide advice on deal structuring and strategy, and conduct and support due diligence.
- Partner with Corporate Development and other cross-functional teams to execute transactions and enable successful integrations.
- Support legal and other departments in the management of post-closing obligations.
- Work collaboratively to prioritize business objectives and support overall company success.
- Work efficiently with outside counsel.
- Support other internal legal initiatives and projects, as needed.
- At least 5 years of relevant transactional experience, with a focus on corporate transactions, M&A, and securities.
- In-house experience at a high-growth tech or publicly-traded company, with relevant prior experience from a top law firm.
- Ability to operate autonomously on certain corporate transactions and handle multiple matters simultaneously.
- Strong interpersonal skills, including the ability to communicate effectively with a wide variety of people, collaborate with diverse business groups, and build interdepartmental relationships at all levels, including senior-level executives.
- Advanced problem-solving skills to quickly digest a problem, evaluate solutions, and then empower others to deliver.
- Excellent drafting, project management, and legal interpretation skills.
- A commitment to professional conduct, excellence and attention to detail under time pressure.
- Ability to balance legal risk mitigation against key business objectives and risks.
- Ability to manage outside counsel efficiently.
- J.D. degree & membership in at least one state bar (New York, New Jersey, California, Washington D.C., or Washington preferred).
- Practical, solution-oriented and ready to roll up your sleeves.
- Excellent communication skills and a demonstrated ability to work collaboratively in a fast-paced environment.

The base salary range for this role is $143,000 to $210,000. The starting salary will be determined based on job-related knowledge, skills, experience, and market location. We strive for both market alignment and internal equity when determining compensation. In addition to base salary, our total rewards package includes a discretionary bonus, equity awards, and a comprehensive benefits program (all based on eligibility).

While we prioritize a hybrid work environment, remote work may be considered for candidates located more than 30 miles from an office, based on role requirements for specialized skill sets. New hires will be invited to attend onboarding at one of our hubs within their first month. Teams also gather quarterly to support collaboration.
