Nexxen Fraud Alert and Notice: Protect Yourself from Impersonation and Fraudulent Activity
What You'll Do:
As Senior Commercial Paralegal at Nexxen, you will play a pivotal role in providing legal support for our company's global business and operations. As an individual contributor within our growing Legal team, your will take the lead on day-to-day drafting and negotiation of a wide range of commercial agreements, including customer deals and vendor contracts. This role is ideal for someone who loves being “in the flow” of deals, is comfortable working from playbooks, and knows when and how to escalate issues to in-house counsel.
Key Responsibilities:
Partner with Sales, Account Management and Business Development teams to move deals from initial draft through signature. Draft, review and negotiate a high volume of commercial agreements, including customer MSAs, order forms/insertion orders, platform and license agreements, NDAs, and SOWs.
Work closely with Procurement, IT, InfoSec, HR and Finance to review vendor agreements, including negotiating commercial, data security, privacy and IP terms.
Identify deviations from standard positions and playbooks, assess risk, and escalate issues to Counsel and business leads.
Contribute to the ongoing refinement of contract templates, playbooks, checklists and escalation guidelines based on deal experience.
Assist with management of the contract lifecycle and process, by owning deals from intake to execution, including tracking status, coordinating approvals, and ensuring proper documentation and recordkeeping.
Balance business goals and risk tolerance, offering clear, business-friendly training and guidance on standard contract terms and processes to internal teams.
Recommend and help implement process improvements to increase speed, consistency and scalability in contract operations.
Qualifications:
Bachelor’s degree required; JD or paralegal certificate is a plus but not required.
5+ years of experience in commercial contracting, (both customer facing and vendor agreements) preferably in-house at a technology, SaaS, media, or advertising / adtech company.
Strong understanding of key commercial terms (e.g., pricing, SLAs, limitation of liability, indemnities, warranties, termination, IP ownership and license grants), and the ability to explain the concept in concise, business friendly language.
Familiarity with data protection and privacy concepts is a plus, but not required.
Comfortable working with contract lifecycle tools and collaboration platforms (e.g., CLM systems, electronic signature tools).
Demonstrated ability to balance commercial objectives with legal and operational risk in a fast-paced environment.
Highly organized, with strong ownership of matters from intake through execution.
Excellent written and verbal communication skills.
Strong relationship-building skills and a collaborative working style in a dynamic global environment.
