ECVC Associate

ECVC Associate (NY, NY): Conduct legal research, negotiation, document review & drafting for corporate & commercial agreements, incl, services agreements, non-disclosure agreements, terms of service, privacy policies, settlement agreements, articles of incorporation, bylaws, board & stockholder consents, shareholders agreements, & consulting agreements. Perform legal research, due diligence, negotiation, document review, & drafting for various transactions incl equity & debt financings, mergers & acquisitions, joint ventures, & partnerships. Advise startups & emerging companies on corporate formation & governance, incl the preparation of, employment agreements, release agreements, license agreements, & separation agreements. Draft SAFEs, promissory notes, loan agreements, credit agreements, term sheets, letters of intent, share purchase agreements, asset purchase agreements, escrow agreements, & NVCA forms. Prepare disclosure schedules, due diligence reports & closing checklists; manage & review data rooms; coord transaction closings; address post-closing matters & provide file mgmt support. Attend various meetings, incl client, board, & shareholder meetings, & draft meeting minutes & consents. Conduct legal research on blockchain, digital assets, & cryptocurrency laws, incl compliance, regulatory frameworks, & evolving industry standards. Handle & advise on corporate formations, IP commercialization strategies, & IP protection. Reqs Juris Doctor (JD) or equiv foreign law degree. Admitted or eligible for admission in NY. 12 mos exp in job offered or as Assoc.
