Associate Attorney

Drafting, revising and negotiating complex transactional documents, such as stock and asset purchase agreements, merger agreements, and securities purchase agreements. Interpreting and discussing specialist comments thereto with corporate team. Drafting and revising disclosure schedules, warrant agreements, organizational documents for corporations and limited liability companies (and other entity forms), contribution agreements, stock powers and assignment and assumption agreements, stock ledgers, and other ancillary transactional documents. Incorporating comments in transaction documents from various corporate and specialist teams, or from the client. Creating checklists for signing and closing actions based on transaction documents and creating various summary lists for transaction management purposes. Conducting diligence review of target business documents including organizational documents, shareholder agreements, commercial contracts (suppliers and customers, distributors), UCC financing statements and terminations, and litigation search results; draft and revise due diligence reports. Synthesizing client-facing corporate analysis and advice based on legal research, internal team discussions and prior deal experience, relating to matters such as deal structure, directorial rights and duties, and corporate governance requirements (primary associate or acting as the main associate driving such advice, with varying level of guidance and review by team). Supervising junior attorneys' due diligence review and reviewing initial draft of diligence report produced by junior associates, or other ancillary transaction drafts produced by junior associates. Managing cross-border team of specialist groups and international corporate and specialist attorneys. Acting as the primary day-to-day contact for clients and cross-border team of specialist groups. Attending in-person client meetings and client-facing events.

Requirements:

Juris Doctor, Master of Laws, or a foreign academic equivalent. One year of legal experience involving cross-border transactions including mergers and acquisitions, capital markets, and asset finance or similar transactional practices. Experience with conducting legal research relating to U.S. contract and securities laws and including navigating standard legal research databases, such as West Law, Lexis Nexis, EDGAR, Practical Law, Intelligize, and demonstrating an ability to analyze and synthesize statutory texts. Experience drafting and revising transaction documents such as disclosure schedules, warrant agreements, organizational documents for corporations and limited liability companies (and other entity forms), contribution agreements, stock powers and assignment and assumption agreements, micro-step plans, stock ledgers, and other ancillary transactional documents. Experience conducting diligence review of target business documents including organizational documents, shareholder agreements, commercial contracts (suppliers and customers, distributors), UCC financing statements and terminations, and litigation search results.

Salary Range: $225,000 to $435,000 per year
