U.S. Banks Business Risk Management - First Line Governance Office Vice President

The U.S. Banks - Morgan Stanley Private Bank, National Association (“MSPBNA”) and Morgan Stanley Bank, N.A. (“MSBNA”) - provide cash management and lending products and services to serve the needs of WM & ISG clients and seeks a Vice President (“VP”) as part of the Governance Office within U.S. Banks First Line of Defense Business Risk Management. The Governance Office has responsibility for the implementation of a consistent, integrated approach to governance standards across the U.S. Banks.
As a Vice President, you will join a team of professionals from a diverse range of backgrounds and experiences who collectively provide guidance for First Line policies & procedures, committees and governance strategy.
The First Line Governance Office VP will report to the Bank’s Head of First Line Governance and will be based in New York. This role requires in-office attendance of 4 days/week.
Responsibilities:
Policies and Procedures
- Oversight of First Line U.S. Bank-owned Policies & Procedures, including confirmation of alignment to U.S. Banks First Line Business Risk Management Policy & Procedure Governance Policy, Global Policy Mandate and Firm standards/templates
- Support the quality and consistency of the First Line Policies & Procedures by setting minimum standards for content, structure and governance
- Maintain and monitor adherence to U.S. Banks First Line Business Risk Management Policy & Procedure Governance Policy, including review of policies and procedures, preparing monthly metrics reporting to leadership and management of annual Policies & Procedure Owner attestations
Committees
- Oversight of First Line Governance Committees to confirm alignment with U.S. Banks First Line Committee Governance Policy and Firmwide Guidelines for Governance Committees
- Define minimum requirements for the formation, maintenance and oversight of Governance Committees
- Maintain and monitor adherence to U.S. Banks First Line Committee Governance Policy, including established controls, annual effectiveness checks and semi-annual adherence reviews
Governance Strategy
- Establish core Governance principles and monitor for adherence
- Define and implement business strategy to meet organizational objectives
- Develop and track strategic priorities through execution and delivery
- Establish best practices and First Line of Defense training to enhance governance control framework in support of Policies, Procedures and Committees
- Drive/Support rationalization, simplification and traceability across Policy, Procedure and Committee commitments
- Identify and develop AI solutions to enhance and support Bank governance
Qualifications:
- Bachelor’s Degree and 10+ years of professional experience in financial services
- Critical attention to detail
- Strong written communication skills
- Ability to work in a fast-paced, high-demand environment, both independently and as part of a team with the ability to manage multiple priorities concurrently, efficiently, and effectively
- Experience defining and implementing governance strategy, writing and overseeing policies and procedures and committee oversight and/or risk management preferred
- Strong interpersonal and verbal communication skills; capable of making presentations to an internal audience and interacting positively with a large and diverse group of senior managers and colleagues.
- Audit experience a plus
- Juris Doctorate plus
- Experience with data analytics, reporting tools and prompt writing with AI tools such as Copilot is a plus
- Experience preparing management for regulatory examinations/inquiries a plus

Expected base pay rates for the role will be between $110,000 and $190,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
