Senior Associate Attorney, Corporate Finance

Lead multi-disciplinary and multi-jurisdictional deal teams in financing transactions, manage all stages of the transaction lifecycle, from commitment through closing and post-closing matters, and collaborate with partners to develop and execute legal strategies. Provide legal advice and guidance to public and private corporate borrowers, private equity sponsors and their portfolio companies, financial institutions and direct lenders regarding debt financing transactions, including acquisition financing, corporate borrowing, refinancing, syndicated loans, direct lending, fund financing and domestic and cross-border financing. Draft, review and negotiate complex financing documentation, including commitment papers, term sheets, credit agreements, indentures and note purchase agreements, security and guaranty documents, intercreditor agreements and fee letters, as well as ancillary legal documents, including legal opinions. Manage and lead communication with clients and negotiation with opposing counsel in financing transactions. Perform complex legal research and analysis in the structuring and negotiation of credit facilities, including term loans, delayed draw term loans, revolving loans, note facilities, asset-based loans and junior and senior financing. Provide training to and manage junior associate attorneys in financing transactions and related legal issues. Advise clients on market trends and legal developments affecting leveraged loan markets, private equity financing and corporate borrowing structures and other debt financing markets. Requirements: J.D., LL.M., or foreign equivalent and three (3) years of experience in the position offered or as an Associate Attorney at an international law firm with at least $950 million in annual revenue* *All of the required experience must have included experience with: negotiating and structuring debt financing transactions, including acquisition financing, corporate borrowing, refinancing, syndicated loans, direct lending, fund financing and domestic and cross-border financing; representing public and private corporate borrowers, private equity sponsors and their portfolio companies, financial institutions and direct lenders in debt financing transactions; drafting, reviewing and negotiating governing legal documents in debt financing transactions, including commitment papers, term sheets, credit agreements, indentures and note purchase agreements, security and guaranty documents, intercreditor agreements and fee letters; interpreting complex financial models and legal documents to identify key legal and commercial risks in debt financing transactions; supporting various stages of the finance transaction lifecycle, including commitment, closing and post-closing matters; conducting legal research and interpreting federal, state and local laws pertaining to banking, finance, corporate and transactional matters; and managing communication with clients and opposing counsel in financing transactions.
