Reports To : Chief Executive Officer (CEO) / Board of Directors

Location : NYC , USA

Company Description

Blackhorse Tech Acquisition Ltd is a company incorporated in the British Virgin Islands specifically for the purpose of executing a SPAC IPO in the US Capital Market. Focused on creating value and growth opportunities, the company seeks to leverage strategic acquisitions and business combinations.

Position Summary

The Chief Investment Officer (CIO) of [Black Horse SPAC] is a senior leadership position responsible for the sourcing, structuring, and execution of risk capital investments required to fund post-IPO SPAC expenses. The CIO leads efforts to raise risk capital shortfalls and secure committed capital through private placements, forward purchase agreements, and PIPE financings related to the SPACs eventual business combination (De-SPAC).

Key Responsibilities

Lead the structuring and placement of private investments (e.g., private placement warrants) to fund IPO costs, working capital, and trust overfunding, if required.

Source, structure, and negotiate PIPE investments or other institutional financing commitments in support of the SPACs proposed business combination.

Investor Relations

Cultivate and maintain relationships with venture funds, private equity, hedge funds, family offices, and institutional investors.

Transaction Structuring

Design tailored investment structures including private placements of units, warrants, or founder shares to align investor incentives with SPAC objectives.

Financial Strategy

Work with CEO and CFO to optimize SPAC capital structure for pre-IPO and De-SPAC success.

Documentation & Compliance

Work with legal counsel to prepare investment agreements, subscription documents, and regulatory filings (e.g., 8-K, S-4/PX filings related to financings).

Board Reporting

Provide regular updates to the Board of Directors and coordinate with Audit/Compensation Committees, as needed.

Qualifications

• Extensive experience in capital markets, investment banking, private equity, or venture capital.
• Proven track record of raising private capital (preferably for SPACs or high-growth ventures).
• Deep network of relationships with institutional investors, family offices, and private wealth platforms.
• Strong financial structuring and negotiation skills.
• Bachelors degree ; MBA, JD, or CFA preferred.

Compensation

Your compensation package will include:

• Base Retainerships : in accordance with the Companys Retainership agreement schedule. Payments may be deferred quarterly / until the completion of the business combination.
• Founder Shares : You will be entitled Class B Founder Shares, subject to vesting terms as determined by the Board.
• Reimbursement of Expenses : All reasonable business-related expenses incurred during your tenure will be reimbursed.
