Job Description TD Securities provides a wide range of capital market products and services to corporate, government and institutional clients. The firm works with clients around the world, focusing selectively and strategically on the key financial centers: New York, Toronto, Montreal, Calgary, Vancouver, London, Singapore and Tokyo. At TD Securities, the Investment Banking Credit function is an integral part of the full suite of services we offer under Investment Banking. Our Investment Banking professionals provide corporate and institutional clients with capital markets and banking advice and transaction executions worldwide. TD Securities is a leader in the Communications, Media, and Technology sector, specifically within the digital infrastructure space. This includes many lead left transactions across datacenters, fiber, and towers. You will have the opportunity to play a lead underwriting role across a variety of financing structures, including project finance, commercial real estate, warehouse/securitization, and cash flow lending. Directors lead corporate and leveraged banking transactions and work closely with the Investment Banking team and clients on newly originated transactions and refinancings, as well as with our debt capital markets, equity capital markets, syndication and risk management teams. In addition Director mentor junior professionals who are assigned to support them for deal execution. Directors are also responsible for developing relationships with professionals in the legal community, at other financial institutions and with our valued corporate and private equity clients. In This Capacity You Will- Demonstrate leadership in due diligence and structuring around complex bank financings.
- Interact and negotiate with senior finance professionals at our clients’ businesses.
- Oversee the research and analysis of clients’ financial performance.
- Continue to build on and enhance your detailed knowledge of trends in your industry group.
- Construct detailed models that establish suitable capital structures and financial covenants.
- Identify/recognize cross-sell opportunities and coordinate with other business units/product groups as appropriate.
- Prepare and recommend high quality credit submissions.
- Manages the performance of team globally ensuring staff has clear objectives
- Provides regular performance feedback and provides leadership, direction, advice and guidance to the team maintaining high levels of integrity, motivation and morale
- Demonstrates governance, control and risk management behaviors in alignment with TD policies and practices
- Prepares and recommends high quality credit submissions as required
- Oversees and monitors performance of Borrowers to ensure compliance
- Conducts market, industry and client research in support of the ongoing risk assessment process
- Works closely with Originators to ensure credit arrangements function effectively
- Ensures credit reviews include all appropriate tools, including MFA spreadsheet tool and MRA analysis to support the risk rating assessment
- Monitors market and client developments to ensure risk ratings are accurate and reflects all relevant material information
- Prepares Quarterly Risk Ratings Report and High Risk Reports as required
- Completes and submits out-of-order reports as appropriate
- Coordinates with Origination to ensure that loan and security documentation reflects the details of the credit authorization accurately
- Coordinates with Origination in the preparation and presentation of Loan Capital Committee analysis and documentation
- Undergraduate degree in Business (Accounting or Finance) or Mathematics/Economics
- Series 79 and 63
- 7-10 years related experience
