About Us
The Society for Corporate Governance (the “Society”) is a national membership organization of approximately 3,700 governance professionals dedicated to advancing effective corporate governance. The Society supports its members by offering distinctive programming, publications, benchmarking, peer networking, and professional development opportunities, and by advocating on their behalf with federal, state, and international policymakers and standard-setters. The Society delivers value to its members both at the national level and through its 21 chapters located across the United States.
Founded in 1946, the Society is a not-for-profit organization under Section 501(c)(6) of the Internal Revenue Code. Our members include corporate secretaries, chief legal officers, in-house counsel, and business executives responsible for governance, ethics, and compliance functions at public, private, and nonprofit organizations; professionals at law, consulting, investment, and other service providers; and other members of the governance community. In their professional capacities, Society members support boards of directors and executive management on matters such as corporate governance, board practices, compliance, sustainability, regulatory and legal matters, shareholder relations, and subsidiary management.
The Society maintains an active and well-established policy engagement and advocacy program. This program is guided by the Society’s Policy Advisory Committee, which oversees policy activities on behalf of the Board of Directors. The Society’s policy efforts also draw on the expertise of the Securities Law Committee—composed of Society members who are actively engaged in the Society’s ongoing interactions with the Securities and Exchange Commission—as well as several member working groups that inform policy activities at the state and international levels. Members of the Society’s Board, Policy Advisory Committee, Securities Law Committee, and working groups—along with the Society’s President and CEO and General Counsel & Chief Knowledge Officer—regularly engage with policymakers.
Position Overview
The Director of Policy Engagement & Advocacy will play a central role in supporting, coordinating, and managing the Society’s efforts to monitor policy developments, educate its members, engage with policymakers, and advocate on behalf of its members at the federal, state, and international levels. The individual will also be responsible for tracking and reporting on the Society’s policy activities.
The Director of Policy Engagement & Advocacy will report to the Society’s President and CEO and will also work closely with the Society’s General Counsel and Chief Knowledge Officer with respect to policy-related educational programming and the Society’s sustainability policy initiatives.
This position requires an attorney with knowledge of US corporate governance, securities law, and US and international sustainability disclosure and compliance laws, regulations, and standards. The successful candidate must have strong planning, communication, and legal analysis skills; the ability to quickly synthesize information from a variety of sources; sound legal, policy, and business judgment; and a collaborative work ethic that leverages the Society’s resources and fosters effective engagement with other organizations.

Core Responsibilities
The Director of Policy Engagement & Advocacy will be responsible for:
· Developing, executing, and tracking the implementation of the Society’s annual policy advocacy plan, which establishes the Society’s priorities and outlines specific steps and timeframes for advancing its policy goals with respect to the SEC, other federal agencies, Congress, federal and state courts, state policymakers, international policymakers, and other standard-setting bodies.
· Serving as the primary staff liaison to the Society’s Policy Advisory Committee, Securities Law Committee, and other committees and working groups, playing a lead role in coordinating their activities and engagement on policy matters.
· Coordinating and drafting regular status reports and ad hoc internal reports for key internal and external constituents.
· Monitoring policy developments in governance, disclosure, compliance, sustainability, and related areas at the federal, state, and international levels.
· Supporting the General Counsel and Chief Knowledge Officer, as well as other national staff and chapter leaders, in educating members about relevant policy developments and in developing and executing the Society’s strategy for engaging and advocating with policymakers.
· Playing a hands-on role in organizing and executing meetings of the Society’s policy-related working groups and other committees.
· Developing and maintaining strong internal and external working relationships, including with peer organizations on coordinated policy initiatives.
· Drafting, editing, and coordinating the Society’s comment letters, amicus briefs, and other written submissions to policymakers.
· Arranging meetings between the Society’s leadership and members and policymakers, and engaging independently with policymakers as appropriate.
· Performing other duties as assigned by the President and CEO.
Qualifications and Experience
· JD required.
· Experience in US securities law, US corporate governance, and sustainability disclosure and compliance regulation.
· Experience working for, or closely with, government entities.
· Strong written and oral communication skills.
· Advanced project management abilities.
· Demonstrated ability to analyze public policy proposals, effectively collect and use data to shape positions, and communicate complex legal and policy matters clearly to different audiences.
Compensation
This is a full-time, permanent position located in the New York City or Washington, DC region. The base salary range for this position is $145,000 to $160,000, commensurate with experience and final location. The position is bonus eligible.
The Society maintains a 35-hour work week and offers a generous benefits package including health, dental, and vision coverage; a 401(k) match; and paid time off, in addition to Society and federal holidays.
