Job Description Responsible for the day-to-day planning, processing and execution of firm-wide transaction management with a specialized focus on the contract finance role. This role requires the well-organized management of all transaction matters related to the companies buy-side, sell-side, and whole loan trading activity. Specific areas of management include contract finance, diligence, settlements, and post-settlement liability tracking. Responsibilities- Manage the transaction timelines from trade acceptance to settlement by identifying and tracking to key milestones and deliverables required to meet the closing date objectives
- Negotiate terms of all required transaction contracts, including trade-level bid letters/stipulations,
non-disclosure agreements (“NDA”), mortgage loan purchase agreements (“MLPA”), interim servicing
agreements (“ISA”), and custodial bailee agreements- Ensure the proper counterparty vetting and approvals are in place
- Coordinate all settlement activity, including the distribution, review, approval and execution of required contracts and schedules, as well as internal and external communications related to the transfer of funds in exchange for title to assets
- Ensure the timely transfer of servicing rights and the accurate boarding of data in connection with loan acquisitions
- Complete transaction-specific post-settlement reconciliation and work with counterparties to
reconcile differences in accordance with the terms and timelines of the MLPAs and ISAs
- Identify, track and work with counterparties to resolve post-closing breach matters in accordance with the terms of applicable contracts
- Ensure financing and securitization requirements are addressed in connection with all transaction activity
- Recommend and implement policy and procedure enhancements to mitigate risks and improve
operational efficiencies through automation where possible

- Strong knowledge of and significant experience in reviewing and negotiating NDAs, MLPAs, and ISAs
- Strong knowledge of and significant experience in all aspects of whole loan trade operations (pre-bid
through settlement), capital markets, and structured finance
- Substantive experience with residential mortgage underwriting and/or servicing of various mortgage
products, including non-performing, re-performing, fix and flip, or Non-QM loans
- Adept at developing interpersonal relationships and being proactive, assertive and professional in dealings with investors, institutional clients, third-party vendors, senior management and other team members.
- Excellent time management and organizational skills with an attention to detail
- Ability to multi-task and thrive in a fast-paced environment with aggressive and fluctuating deadlines
- Strong self-confidence, sound judgment, thoughtful decision making and problem-solving skills
