DUTIES: Provide legal support for negotiation, structuring, and execution of acquisitions and financing transactions, including asset-basedwarehouse facilities, term loans, forward-flow receivables purchase facilities, renewals, amendments, restructurings, and related debt financings. Draft, review and negotiate term sheets, letters of intent, credit agreements, and other transaction documents to ensure compliance with legal and regulatory requirements. Support mergers and acquisitions and equity transactions by conducting legal due diligence, preparing transaction documentation, and advising internal teams on deal structure and regulatory considerations. Coordinate with internal business units, external counsel, borrowers, and counterparties to ensure transactions align with risk management protocols and accurately reflect business agreements. Identify, analyze and resolve legal and business issues arising between initial term sheets and closing. Oversee due diligence processes for borrower counterparties and merger and acquisition targets, including review of contracts, corporate governance and regulatory filings. Direct and supervise external counsel in drafting transaction documentation and providing legal guidance on transaction structures. Manage transactions from initial negotiation through closing, ensuring completion of all legal and business requirements. Develop and maintain standard legal documents, policies, and processes for credit, equity and merger and acquisition transactions. Monitor changes in laws, regulations and market trends affecting credit, equity, and specialty finance transactions and provide guidance to business teams. REQUIREMENTS: First professional law degree plus Master of Laws (LLM) plus 4 years in the job offered or as Attorney, or related occupation. The employer will alternatively accept a Juris Doctor (JD) degree plus 4 years in the job offered or as Attorney, or related occupation This position requires 4 years of experience with the following: Executing and managing capital markets including credit, equity, and securitization transactions, including term loans, receivables-based facilities, equity and asset purchase agreements, and warehouse financings; Drafting, reviewing, and negotiating receivables-based loan agreements, security agreements, and intercreditor agreements; Advising on and executing mergers, acquisitions, and equity transactions; Conducting legal due diligence, coordinating internal teams, and advising on deal structure and regulatory considerations; Structuring and documenting secured lending transactions in compliance with applicable state commercial law, bankruptcy and insolvency principles, and perfection and priority requirements; Providing legal advice to assess and mitigate regulatory, contractual, tax, and compliance risks associated with proposed transactions and business initiatives; Advising business teams, senior management, and external counterparties on legal concepts such as legal structures, collateral perfection, lender and equityholder rights, default remedies, and regulatory compliance. This position requires 3 years of experience with the following: Analyzing and applying business drivers behind asset-based credit transactions and securitizations, including advance rates, borrowing bases, performance triggers, and bankruptcy-remote structures. This position requires the following license: License to practice law in the state of New York. Full-time. Salary: $300,000 - $350,000 per year.
