Direct Counsel is seeking a Corporate M&A Associate Attorney to join a global law firm in New York or Miami.

Direct Counsel has partnered with a leading international law firm in seeking an experienced associate to join its growing Corporate group in either the New York or Miami office. This role offers the opportunity to work on sophisticated mergers and acquisitions for both private and public companies in a dynamic, high-performing practice.

Position Overview:
The ideal candidate will have a minimum of four years of experience executing M&A transactions, with significant experience drafting and negotiating principal acquisition agreements. The firm is seeking attorneys with strong large law firm backgrounds, immediately transferable skills, and excellent academic credentials.

Key Responsibilities:

• Execute mergers and acquisitions transactions for private and public companies

• Draft and directly negotiate principal acquisition agreements and related transaction documents

• Conduct legal research and provide strategic transactional analysis

• Manage and assist with complex transactions from inception through closing

• Maintain and develop strong client relationships through responsive and practical legal guidance

• Collaborate with attorneys and cross-functional teams to develop and implement transaction strategies

Qualifications:

• JD from an accredited law school

• Admission to practice in the state of the office location (New York or Florida)

• Minimum of 4 years of corporate M&A experience

• Direct large law firm (Am Law 100 preferred) experience

• Strong drafting, negotiation, analytical, and communication skills

• Excellent business judgment and organizational abilities

Work Environment:
Hybrid work arrangement with regular in-office presence.

Compensation:
$310,000 – $390,000 annually, depending on geographic market, experience, and qualifications.
